Non-Disclosure Agreements (NDAs) are legal documents that establish contractual conditions for the exchange of information where a disclosing party shares confidential information with a receiving party. The NDA defines information that the parties wish to protect from dissemination and outlines restrictions on use.
A Material Transfer Agreement (MTA) is a contract between the Georgia Tech Research Corporation and another party that governs the transfer of tangible research materials. These materials include, but are not limited to, chemicals and biological materials such as cell lines, vectors, and plasmids. An MTA defines the rights of the provider and the recipient with respect to the use of the exchanged material and any derivatives. It also details how to manage any intellectual property.
A Data Use Agreement (DUA; also known as a Data Transfer & Use Agreement or DTUA) is a contract used for the transfer of data that has been developed by nonprofit, government or private industry, where the data is nonpublic or is otherwise subject to some restrictions on its use. The data may be needed as a necessary component of a research project. It may or may not be human subject data from a clinical trial, or a Limited Data Set as defined in HIPAA.
